Olin and Huntsman Shareholders Approve Merger Agreement

Olin Corporation and Huntsman Corporation have announced that their respective shareholders have approved the proposals required to complete their previously announced all-stock merger of equals. The combined entity will operate as OlinHuntsman Corporation, with the transaction expected to close in the first half of 2027, subject to regulatory approvals and customary closing conditions.

According to preliminary voting results from the special shareholder meetings, approximately 97% of votes cast at Olin (representing 81% of outstanding shares) and 99% of votes cast at Huntsman (representing 75% of outstanding shares) supported the direct merger.

Final voting results will be certified by independent election inspectors and disclosed via Form 8-K filings with the US Securities and Exchange Commission (SEC).
